TERMS



1. Promotion Overview

SMASH Fundraising, LLC (“SMASH”) offers participating teams the opportunity to run a qualifying fundraiser through SMASH that is comparable to their most recent competitor fundraiser.

If the Team’s net team profit from the qualifying SMASH fundraiser does not exceed the net team profit earned from the comparable competitor fundraiser, SMASH will forgo its company profit on the SMASH fundraiser (the fundraiser will be “on us,” as defined below).

This promotion applies to one (1) qualifying fundraiser per Team.

Participation in this promotion constitutes acceptance of these Terms & Conditions.


2. Definition of “On Us”


If the qualifying SMASH fundraiser does not generate greater net team profit than the comparable competitor fundraiser, SMASH will waive its retained company profit from the fundraiser.


For clarity:


“On us” means SMASH will not retain its company profit portion.


It does not include reimbursement or coverage of:

  • Product costs

  • Cost of goods sold (COGS)

  • Credit card processing fees

  • Shipping costs

  • Technology fees

  • Platform fees

  • Merchant fees

  • Payment processing fees

  • Taxes

  • Any third-party service costs

  • Any other direct or indirect fundraiser expenses

SMASH’s maximum obligation under this promotion is limited to its retained company profit from the qualifying fundraiser.


All determinations of company profit are made according to SMASH’s standard accounting methodology.


3. Eligible Fundraisers

The following fundraiser categories qualify under this promotion:

  • Cookie Dough

  • Donation Platform

  • Home-Shipped Popcorn

  • Team Discount Cards

All qualifying fundraisers must be conducted using SMASH’s digital platform only.

Paper order forms and paper money collection are not permitted under this promotion.



4. Comparable Competitor Fundraiser Requirements


To qualify, the Team’s previous competitor fundraiser must meet all of the following criteria:

  1. Timeframe Requirement
    The competitor fundraiser must have occurred within thirteen (13) months prior to the scheduled SMASH fundraiser kickoff date.

  2. Rep Service Requirement
    The competitor fundraiser must have included active representative service (i.e., in-person rep guidance, strategy planning, or comparable service support).

  3. Profit Margin Comparability
    The competitor fundraiser must have offered product team profit margins that were equal to or less than those offered by SMASH for the comparable product category.

  4. Roster & Participation Comparability
    Team roster size and active participant count must be materially similar to the competitor fundraiser. Significant reductions in roster size or participation may void eligibility.

  5. Market Conditions & Timing Comparability
    The competitor fundraiser must have been conducted under reasonably similar seasonal timing and market conditions. Substantial differences in timing, fundraising climate, school calendar position, or community market conditions may void eligibility.

  6. Effort & Structure Comparability
    The competitor fundraiser must have been conducted with comparable team participation, effort level, and organizational structure.

SMASH reserves the right to determine comparability in its sole discretion.



5. Equal and Sufficient Effort Requirement


To maintain comparability and ensure a fair performance evaluation, the Team must provide equal or greater effort than provided during the competitor fundraiser and must meet a sufficient level of engagement to reasonably maximize fundraiser performance.


Equal and sufficient effort includes, but is not limited to:


  • Attendance by all coaches and applicable booster or parent volunteers at the SMASH Game Plan Meeting

  • Active participation in creating the fundraiser game plan

  • Agreement to and execution of all actionable steps recommended by the SMASH representative

  • Full participation in daily checkpoints

  • Implementation of recommended engagement strategies, including but not limited to:

    • In-app prize shop

    • Daily team engagement prompts

    • Player accountability structure

    • Parent communication plans

  • Team must reach an 80% Onboarding Score prior to kickoff


Failure to execute agreed-upon strategy steps or meet onboarding benchmarks may void eligibility for the promotion.

SMASH retains sole discretion in determining whether equal and sufficient effort has been met.



6. Exclusivity Requirement



To protect fundraiser performance integrity:


The Team may not conduct any other fundraiser within three (3) months before or after the SMASH fundraiser kickoff date, or a fundraiser of same or similar product within nine (9) months of SMASH fundraiser kickoff date.


Running overlapping, adjacent, or substantially similar fundraisers may void eligibility for this promotion.



7. Approval of Strategy


Participation in this promotion requires approval and execution of all recommended SMASH strategic components necessary for competitive performance.


If a Team declines recommended core strategic elements, SMASH may determine that comparability cannot be established, and the promotion may be voided.



8. Claim Procedure & Timing


If the Team believes that the qualifying SMASH fundraiser did not exceed the net team profit of their comparable competitor fundraiser, the Team must:


  1. Notify SMASH in writing after the SMASH fundraiser concludes and before payout is settled, and

  2. Submit required documentation as outlined below.


Failure to notify SMASH prior to payout settlement may void eligibility for this promotion.


9. Documentation & Verification


Documentation is required only if and when the Team claims that their SMASH fundraiser did not exceed their prior competitor fundraiser’s net team profit.


In such case, the Team must provide sufficient written proof of the competitor fundraiser’s results, which may include:


  • Official profit report

  • Invoice

  • Dashboard printout

  • Or comparable written verification

Documentation must clearly show:


  • Net team profit

  • Gross sales

  • Product(s) sold

  • Product profit percentage(s)

  • Fundraiser dates

  • Affiliated fundraising company


SMASH reserves the right to request additional documentation reasonably necessary to verify comparability.


Failure to provide sufficient documentation may void eligibility.


Submission of altered or misleading documentation voids eligibility and may result in cancellation of services.



10. SMASH Discretion & Eligibility


SMASH is not obligated to accept any Team into this promotion.


SMASH reserves the right to deny participation or product availability based on:


  • Team size

  • Geographic distance or travel constraints

  • Scheduling conflicts

  • Operational capacity

  • Product availability

  • Prior performance history

  • Or any other reasonable business consideration



All determinations of comparability, eligibility, effort sufficiency, market similarity, roster similarity, and performance qualification are made at SMASH’s sole discretion.



11. Limitation


This promotion applies only to net team profit comparison under comparable conditions as defined herein.

It does not guarantee minimum sales volume or revenue.


This promotion may be modified, suspended, or terminated at any time at SMASH’s discretion.
